Any formation and development of a market economy cannot exist without the market participants, while the company is the most fundamental, important and regulated market participant.

In China, the legislature made four amendments to the Company Law of the People’s Republic of China to meet the practical demands of business transactions and to encourage active investment by various market participants. But the practice requires the guidance from the authority on how to apply the Company Law and other relevant laws and regulations.

This book provides readers with an in-depth and direct understanding of the applicable scope and circumstances of the Company Law in practice, which is based on disputes covering six main themes in China; Corporate establishment and its legal personality; Shareholders’ capital contribution; Shareholders’ rights; Equity transfer; Corporate resolution and liabilities of senior executives; and Corporate dissolution and liquidation.

The book enables readers – including foreign corporations and legal professionals – to develop an in-depth understanding of the economic and social development in China, familiarize themselves with the concrete company law system to facilitate their investment and business in China and protect their legitimate rights and interests by law.
